I'm sorry, Sheryl, but I only have experience with the process I described in the article. I'm not familiar enough with the rules for foreign corporations to have any advice for you. Sorry I can't be more help!

As Administrator of Corporate Affairs for the company that I work for, I've run into a bit of difficulty in communicating with the Pennsylvania Department of State Corporation Bureau. I've found Pennsylvania to be a bit different than the other states that I normally deal with in keeping our foreign corporation filings up to date. For instance, our company recently moved and our mailing address has changed, but I have been unsuccessful in finding out a simple way to update the Department of State for three of our foreign entities active and authorized to do business in PA. The forms online do not address this very simple situation. I've spent over an hour on their website and my two phone conversations have not been very customer services friendly... Any insights would be much appreciated.

Glad you like it, Brian. It's not a replacement for qualified legal advice, but it covers everything I did to incorporate my business. Keeping up with the ongoing recordkeeping requirements is very important and probably why people advise using an attorney.

This guide is so great, because I am doing the same single-owner Corporation that you did.

Thanks so much!

You're quite welcome, Frank. Please understand this is no substitute for legal advice from an attorney, but it should serve as a useful guide as you go through the process. Thanks for commenting!

Very good point, Rebecca! This article is not a recommendation that everyone should use a corporation as their business structure. It's simply a how to if you're looking to set up a corporation. Thanks for sharing your thoughts and for highlighting the article at the Microsoft Small Business Center.

Before you begin doing business, you need to choose how you will run your business. There are multiple ways to structure an organization, including sole proprietorship, general partnership, Limited Liability Company (LLC) and a C Corporation. Depending on your business, you want to set up a structure that best meets your current situation while looking ahead at your future goals and growth.
This exact question comes up a lot for prospective SMB owners and the “Ask an Expert” actually has a great column about this as well on The Microsoft Small Business Center: http:/smb.ms/cwep1j
